This User Agreement (the “Agreement”) sets out the procedure for accessing and the rules for using the Ashoo platform (the “Platform”).
The Platform is an online classifieds platform that enables users to create, publish, manage and promote listings. References to “we”, “us” and “our” in this Agreement refer to the operator of the Platform.
For the purposes of this Agreement, the following definitions apply:
2.1. The Platform is an online service for publishing Listings and an advertising service. We provide technical tools that allow independent Users to create, publish, manage, and promote their own Listings.
2.2. The Company does not provide, organise, arrange, broker, intermediate, recommend, supervise, control, procure, or participate in any services, meetings, communications, transactions, payments, or arrangements between Users or between Users and any third parties. The Company is not a party to any agreement, contact, meeting, service, transaction, or arrangement that may arise from or relate to a Listing.
2.3. Users act independently and solely on their own behalf. The publication, ranking, promotion, moderation, verification, or display of a Listing does not mean that the Company endorses, verifies, guarantees, approves, procures, arranges, facilitates, or is otherwise involved in any service or activity described, offered, requested, implied, or referenced in that Listing.
2.4. The Company does not receive any commission, percentage, success fee, referral fee, transaction-based fee, or other remuneration based on whether any User enters into any agreement, provides any service, attends any meeting, communicates with another person, or receives any payment outside the Platform. Any fees paid to the Company are fixed platform fees for access to advertising, publication, visibility, Credits, Wallet functionality, or other technical Platform features.
2.5. Users are solely responsible for their Listings and Content, for their conduct, for compliance with applicable laws, and for any communications, meetings, arrangements, services, payments, or other actions they choose to enter into outside the Platform.
2.6. The Platform must not be used for coercion, exploitation, trafficking in human beings, sexual exploitation, prostitution of minors, pimping, procuring, third-party control of Listings, agency or brothel-style arrangements, forced services, deceptive Listings, money laundering, fraud, or any other unlawful activity. We may remove Listings, restrict visibility, suspend or terminate accounts, refuse verification, preserve relevant records, and report suspected unlawful activity to competent authorities where appropriate.
3.1. The Platform may only be used by real, natural or legal persons. Access by automated systems, bots, scrapers, or artificial intelligence agents is prohibited.
3.2. Guests who browse the Platform without registering must be at least 16 years of age.
3.3. To create an account and publish Listings or purchase Credits, you must be at least 18 years of age and legally capable of entering into binding contracts under the law of your jurisdiction.
3.4. We reserve the right to refuse registration, suspend or terminate accounts at our sole discretion, including where we reasonably suspect fraud, misuse, or breach of this Agreement or any other policies published by the Company on the Platform, or where required or requested by a competent authority, court order, or applicable law. We are not obliged to provide detailed reasons for such decisions, though we will use reasonable endeavours to notify affected Users where reasonably practicable and where not prohibited by applicable law or an ongoing investigation.
4.1. Users who wish to publish Listings on the Platform are required to complete a two-step identity verification process before their first Listing is approved:
Step 1 - Identity document. You must upload a clear photograph of yourself together with a valid government-issued identity document (national ID card or passport). The document must be current, fully legible, and unedited.
Step 2 - Video identification. You must submit a video of yourself holding a sheet of paper on which you have written the verification code sent to you by the Company. The video must clearly show your face, the document, and the code simultaneously.
4.2. Verification may be refused in the following circumstances:
4.3. We reserve the right to refuse verification at our sole discretion without being required to provide reasons. A refused verification may be resubmitted once the grounds for refusal have been addressed.
5.1. The Platform is currently available free of charge for browsing. Publishing a Listing requires Credits from your Wallet. The number of Credits required per Listing depends on the category and type of Listing, as specified at ashoo.cz/prices.
5.2. By topping up your Wallet, you confirm your consent to payment of the amount indicated at the time of purchase using your selected payment method. All amounts are stated in USD and are inclusive of VAT where required by applicable law (see Section 6).
5.3. Credits are deducted from your Wallet at the time a Listing is published. Credits are non-refundable once redeemed to publish a Listing.
5.4. Credits expire 12 months from the date of purchase. The expiry date is displayed in your Wallet at all times. Unused Credits are forfeited upon expiry without refund, except as required by applicable law.
5.5. We may change the price of Credits upon giving you at least 30 days' prior written notice. Credits purchased before the effective date of any price change will retain their original redemption value.
5.6. Upon closure or termination of your account, any unused Credits remaining in your Wallet will be forfeited and will not be refunded, except where required by applicable law.
5.7. EU/EEA Consumers have a 14-day right of withdrawal from a Credit purchase under Directive 2011/83/EU. This right is lost once Credits have been partially or fully redeemed, as performance will have commenced at your express request. By redeeming Credits to publish a Listing you expressly request immediate performance and acknowledge that the right of withdrawal is lost in respect of the redeemed amount.
5.8. For the avoidance of doubt, the right of withdrawal described in this Section 5.7 applies exclusively to Credit purchased by Users directly from the Company. It does not apply to any service contracts or transactions concluded between Users through or following use of the Platform.
6.1. If you purchase Credits or pay for other paid Platform features, the Company will charge VAT where and to the extent required by applicable law.
6.2. If you are located, registered, or habitually resident in the EU, the Company will charge VAT on the relevant payment and remit it to the tax authorities. You will receive a receipt showing the VAT amount. A VAT invoice will be issued only where required by applicable law.
6.3. If you are located, registered, or habitually resident outside the EU, the relevant payment is not subject to EU VAT, and the Company will not charge or remit EU VAT in respect of that payment.
6.4. If you publish Listings on the Platform as an entrepreneur or legal entity and are registered for VAT, you must provide us with your VAT number. In that case, VAT will apply in accordance with the rules applicable in your jurisdiction, including the reverse-charge mechanism where applicable.
6.5. Users are solely responsible for compliance with their own tax obligations. The Company does not provide tax advice and is not liable for any User’s failure to comply with applicable tax law.
7.1. All Content uploaded to, and use of, the Platform must be lawful and comply with this Agreement, including in particular Section 8 (Prohibited Activities).
7.2. Each Listing must accurately describe the item or service offered, including price, condition, and location. Listings that are misleading, duplicated, or off-topic for the applicable category may be removed without notice.
7.3. You may not post Listings or Content that:
7.4. You may not post Content that depicts, promotes, or alludes to the sexual abuse or exploitation of any person under the age of 18. Any such Content will be removed immediately and reported to competent authorities.
8.1. In addition to the content restrictions in Section 7, the following are prohibited on the Platform:
8.2. The Platform does not permit and actively works to prevent the use of Listings to facilitate human trafficking, sexual exploitation, or any form of coercion or abuse. Any Listing suspected of facilitating such activities will be removed immediately and reported to competent authorities, without prior notice to the User concerned.
8.3. Where a Listing relates to adult services, age-restricted services, or other regulated services, the User posting such Listing represents and warrants that: (a) all persons involved in the provision of the services are at least 18 years old and act voluntarily, without coercion; (b) the provision of the relevant service is lawful in the jurisdiction where it is provided; and (c) the User holds all licences, permits, or authorisations required under applicable law.
8.4. Reports of suspected fraud, illegal activity, human trafficking, or exploitation should be submitted immediately to [email protected] and, where appropriate, to relevant law enforcement or consumer protection authorities. Reports may be made anonymously.
9.1. You may link to or mention the Platform on third-party websites or platforms provided that doing so does not harm our reputation or is used to extract commercial benefit from our brand. Any such link or reference must not create the impression that any partnership, affiliation, or endorsement exists between you and the Company.
9.2. When promoting your account or Listings on third-party platforms, you must comply with this Agreement as well as the terms and conditions of any such third-party platform. You may not impersonate the Platform or create the impression that the Company promotes or endorses your account or activities.
10.1. Users may post Listings offering services to be rendered in person, at a location agreed between the parties offline. The Platform facilitates the discovery of service providers only; it does not organise, manage, or participate in the performance of any service.
10.2. The Platform does not verify, and makes no representation regarding, the professional qualifications, licences, registrations, insurance, or any other credentials of Users posting service Listings. Where a service is subject to professional licensing or regulatory requirements under applicable law, it is the sole responsibility of the User offering that service to hold all required authorisations, and the sole responsibility of the User seeking that service to verify them independently before engaging the provider.
10.3. Users who regularly offer goods or services, or do so for the purpose of earning income, may be considered professional traders for the purposes of applicable EU consumer protection law, regardless of whether they are registered as a legal entity or entrepreneur. Such Users must identify their status in their Listing. The Platform does not verify this status and is not liable for any incorrect indication of status by a User.
11.1. The Platform and all proprietary underlying software, databases, design elements, and trade marks (including pending trade mark applications) are owned by us and are protected by EU intellectual property law. Nothing in this Agreement grants you any licence to our intellectual property except as strictly necessary to use the Platform.
11.2. By submitting Content to the Platform, you grant us a non-exclusive, worldwide, royalty-free licence to host, display, reproduce, and distribute that Content solely for the purpose of operating and promoting the Platform. You retain ownership of your Content.
11.3. You represent and warrant that you own or have all necessary rights to the Content you submit, and that its publication on the Platform does not infringe any third-party rights.
12.1. The Platform is only a bulletin board for Listings. Contracts for the provision of services are negotiated and concluded directly between Users, offline and outside the Platform. We are not a party to any such contract, do not act as agent, broker, or guarantor, and do not guarantee the quality, safety, legality, or availability of any listed item or service.
12.2. We strongly encourage Users to exercise independent due diligence before entering into any transaction, including verifying the identity, qualifications, and credentials of the other party. We are not responsible for any loss, damage, or harm arising from transactions conducted via or facilitated by the Platform, including transactions involving regulated services, adult services, or age-restricted services.
12.3. Contracts for services facilitated through the Platform are concluded between Users in person or through direct offline communication. Such contracts are not distance contracts within the meaning of Directive 2011/83/EU, and the statutory right of withdrawal applicable to distance contracts does not apply by virtue of use of the Platform alone.
13.1. We process personal data in accordance with our Privacy Policy, available at ashoo.cz/pages/privacy-policy, which forms an integral part of this Agreement.
13.2. We act as a data controller within the meaning of the GDPR. Users who are EU residents enjoy all rights afforded by the GDPR, including rights of access, rectification, erasure, restriction, portability, and objection. Requests may be submitted to [email protected].
13.3. By using the Platform you consent to cookies as described in our Cookie Policy at ashoo.cz/pages/cookie-policy. Non-essential cookies require your explicit opt-in.
13.4. We do not directly store identity verification data. Such data is processed and retained by our third-party KYC provider. For details, see our Privacy Policy at ashoo.cz/pages/privacy-policy.
13.5. We may share User data with law enforcement or regulatory authorities where required to do so by applicable law, court order, or legitimate investigation, in accordance with our Privacy Policy.
13.6. Where Users share personal contact information (such as telephone numbers or email addresses) with other Users in connection with a Listing, such information may be used solely for the purpose of communicating in relation to that specific Listing. Any other use, including unsolicited marketing, resale, or aggregation of such data, is prohibited and may constitute a breach of applicable data protection law.
14.1. The Platform is provided “as is” and “as available” without warranties of any kind, express or implied, to the fullest extent permitted by applicable law. We do not warrant that the Platform will be uninterrupted, error-free, or free of harmful components.
14.2. To the maximum extent permitted by law, our aggregate liability to you for any claim arising from this Agreement or your use of the Platform shall not exceed the total fees paid by you to the Company in the 12 months preceding the claim.
14.3. Nothing in this Agreement limits or excludes our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited under applicable law, including the mandatory consumer protection rights of EU consumers.
15.1. You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform; (b) your Listings or Content; (c) your breach of this Agreement; or (d) your infringement of any third-party rights. This clause does not apply to EU Consumers to the extent it would limit mandatory statutory rights.
16.1. You may close your account at any time by contacting [email protected]. Closure does not affect any obligations accrued before closure. Upon closure of your account, all active Listings will be removed and access to your account and its Content will no longer be available. We are not able to restore access to your account or Content after closure.
16.2. We reserve the right to suspend access to or terminate your account with immediate effect and without prior notice in the following circumstances:
(a) you commit a material or repeated breach of this Agreement, including but not limited to the prohibited content and activity provisions set out in Sections 7 and 8;
(b) we reasonably suspect fraudulent, abusive, or unlawful activity in connection with your account;
(c) suspension or termination is required or requested by a competent authority, court order, or applicable law; or
(d) your conduct has caused or risks causing damage to the Platform, other Users, or the Company's reputation. Suspension or termination does not affect any rights or obligations accrued prior to the effective date thereof.
16.3. We may restrict, suspend, or terminate access to the Platform, an account, Listings, Wallet functionality, or advertising tools at any time where we reasonably believe that a User has breached this Agreement, violated applicable law, created a risk to other Users, the Platform, or the Company, or engaged in suspicious or fraudulent conduct.
Such measures may include removal or restriction of Listings, temporary suspension, permanent account termination, refusal of verification, restriction of advertising tools, blocking of duplicate accounts, or prevention of further use of the Platform.
Grounds for restriction, suspension, or termination may include, without limitation:
(a) the User is or appears to be under 18 years of age;
(b) fraud, attempted fraud, chargeback abuse, use of false payment confirmations, or other financial misconduct;
(c) threats, blackmail, harassment, aggression, coercion, or unsafe behaviour towards Users, advertisers, moderators, or the Company;
(d) false, misleading, or inconsistent account, Listing, verification, price, service, identity, contact, or location information;
(e) use of another person’s photos, videos, documents, verification materials, contact details, or personal data without authorisation;
(f) impersonation, passing verification on behalf of another person, or otherwise circumventing identity or age verification;
(g) use of one Listing, account, or profile for multiple persons in a misleading manner;
(h) creation or use of multiple accounts to bypass moderation, limits, suspension, verification, payment restrictions, or this Agreement;
(i) promotion, offer, request, or facilitation of prohibited services or illegal activity;
(j) publication or transmission of prohibited Content;
(k) scraping, harvesting, copying, or misuse of contact details, photos, Listings, or other data from the Platform;
(l) spam, unsolicited promotion, or promotion of third-party websites, channels, or services not permitted by the Platform;
(m) repeated or systematic violations of this Agreement, including re-submission of prohibited Content after moderation action;
(n) suspicious, automated, malicious, or technically harmful activity;
(o) attempts to evade a ban, warning, temporary restriction, or moderation decision; or
(p) any other conduct that we reasonably consider harmful to Users, the Platform, the Company, or third parties.
16.4. We may assess age-related concerns based on information available to us, including verification results, account information, Listing content, User reports, moderation findings, payment or technical signals, inconsistencies in submitted information, or communications with the User. We are not required to allow access where we reasonably believe that a User is under 18 or that an account is being used by or for the benefit of a person under 18.
Where required by applicable law, including the Digital Services Act, we will provide the affected User with a statement of reasons for the measure taken, unless providing such information would be unlawful, compromise the safety or integrity of the Platform, interfere with an investigation, reveal detection methods, or create a risk of further abuse.
16.5. Upon termination, your right to use the Platform ceases immediately. Any unused Credits remaining in your Wallet will be forfeited, except where required by applicable law. Provisions that by their nature should survive termination, including Section 11 (Intellectual Property), Section 14 (Disclaimers and Limitation of Liability), Section 15 (Indemnification), and Section 18 (Governing Law), will continue to apply.
The Platform has no technical ability to provide access to Content after account termination.
16.6. We do not guarantee that the Platform will be compatible with all devices, operating systems, or browsers. You are responsible for configuring your own devices and software to access the Platform.
17.1. The Company is an online intermediary service provider within the meaning of Regulation (EU) 2022/2065 (the “Digital Services Act” or “DSA”) and complies with applicable DSA obligations as a hosting service provider.
17.2. Any person may report Content that they consider to be illegal or in breach of this Agreement by contacting [email protected], providing a description of the Content, its URL, the legal or policy basis for the report, and, where applicable, the identity of the reporting person. We will process notices in accordance with our obligations under the DSA and notify the reporting person and the affected User of our decision.
17.3. Users whose Content has been removed or restricted, or whose accounts have been suspended, have the right to contest our decision by contacting [email protected] within 6 months of notification. We will review the matter and respond within a reasonable time.
17.4. The Company's designated single point of contact for users and authorities in relation to DSA matters is: [email protected].
17.5. The Company is registered with the Czech Telecommunication Office (ČTÚ) in accordance with applicable DSA implementing legislation.
18.1. This Agreement is governed by and construed in accordance with the laws of the Czech Republic, without regard to conflict-of-law principles.
18.2. Any dispute arising from or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of the Czech Republic, except that nothing in this clause prevents either party from seeking urgent injunctive relief before any court of competent jurisdiction.
18.3. If you are an EU Consumer, you may also benefit from the mandatory consumer protection provisions of the law of your country of habitual residence, which may afford you greater protection than Czech law.
18.4. Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute in good faith within 30 days of written notice from the complaining party.
19.1. We may update this Agreement at any time. Where changes are material, we will notify registered Users by email or prominent notice on the Platform at least 30 days before the changes take effect.
19.2. Your continued use of the Platform after the effective date constitutes acceptance of the revised Agreement. If you do not agree to the revised Agreement, you must cease using the Platform and may close your account before the effective date. For EU Consumers, material changes that are to your detriment will require your active acceptance where required by applicable law.
20.1. Severability. If any provision of this Agreement is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force.
20.2. Waiver. Failure by us to enforce any right under this Agreement does not constitute a waiver of that right.
20.3. Assignment. We may assign our rights and obligations under this Agreement to any affiliate or in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our prior written consent.
20.4. Force Majeure. Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control.
